Mitly sells membership access to a public-only social planning directory and related platform tools. It does not sell meetings, provide dating or escort services, process user-to-user fees, or provide emergency response.

Mitly does not sell meetings, does not process separate user-to-user amounts, does not provide real-world services, and does not provide dating, adult-service, private-meeting, transportation, security, or emergency-response services.

IMPORTANT NOTICE: These Terms of Use contain important provisions affecting your legal rights, including assumptions of risk, disclaimers, limitations of liability, indemnification obligations, an arbitration agreement, a class action waiver, and a jury trial waiver. Please read them carefully. Nothing in these Terms is intended to limit any non-waivable rights you may have under applicable law.

1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms of Use, together with any documents expressly incorporated by reference, including Mitly's Privacy Policy, Safety Guidelines, Community Rules, Member Rules, Approved Public Profile Code, Approved Public Profile Rules, Membership Refund and Cancellation Policy, public-only acknowledgements, payment disclosures, verification disclosures, and any additional terms displayed in connection with particular features, functionalities, or offerings (collectively, this "Agreement"), constitute a legally binding agreement between you and Mitly governing your access to and use of Mitly's website, web application, software, communications tools, account tools, public-plan request tools, membership tools, safety-support tools, content, features, functionality, and related services (collectively, the "Services").

As used in this Agreement, "Mitly," "Company," "we," "us," and "our" mean the Mitly entity that owns or operates the Services made available to you. "You" and "your" mean the individual who accesses or uses the Services, whether as a visitor, registered account holder, member, approved public profile, administrator, subscriber, applicant, or otherwise. If you access or use the Services on behalf of another person, organization, or entity, you represent that you have authority to bind that person, organization, or entity to this Agreement.

By accessing, browsing, registering for, creating an account, clicking to accept, purchasing or managing a membership, creating or viewing a profile, sending or receiving a public-plan request, accepting or declining a public-plan request, sending a message, checking in, checking out, submitting feedback, submitting a report, applying to list an approved public profile, or otherwise using the Services in any manner, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. Your electronic assent, account registration, continued use, click-through acceptance, or other affirmative use of the Services constitutes your intent to enter into a legally binding contract and has the same force and effect as a handwritten signature.

These Terms apply to all users of the Services. If you do not agree to this Agreement in its entirety, you are not authorized to access or use the Services and must immediately discontinue all use. Mitly may condition access to particular features on additional confirmations, acknowledgements, membership status, verification status, safety acknowledgements, or compliance with applicable rules.

2. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth in this Section. "Account" means a registered user account created to access some or all portions of the Services. "Member" means a user who creates an account for the purpose of browsing approved public profiles, using member-access features, saving profiles, sending public-plan requests, messaging, or participating in public-only social planning. A Member may be free, trial, inactive, suspended, cancelled, expired, or paid depending on the applicable membership status.

"Membership" means access to Mitly's paid or unpaid platform features, which may include browsing public profile information, sending public-plan requests, using messaging tools, saving profiles, accessing optional manual safety tools, and using other member features made available by Mitly. Membership is a technology access product provided by Mitly. Membership is not a purchase of attendance, companionship, transportation, security, personal services, romantic services, private meetings, adult services, or any real-world conduct by another user.

"Approved Public Profile" means a user profile, listing, or account approved by Mitly to be displayed in Mitly's directory or to receive public-plan requests. Approved Public Profiles may describe public activity preferences, city, interests, availability, rules, and other profile information permitted by Mitly. Approved Public Profiles are independent users of the Platform and are not employees, agents, representatives, partners, joint venturers, contractors, fiduciaries, or service providers of Mitly unless a separate written agreement signed by Mitly states otherwise.

"Public Plan" or "Public-Plan Request" means a platform record, request, proposed public activity, message thread, accepted plan, check-in record, checkout record, or related workflow created through the Services for a lawful, public, voluntary, non-sexual, non-coercive social plan. A Public Plan is a Platform-side recordkeeping and communication feature and is not a guarantee that any real-world meeting, attendance, performance, conduct, outcome, or interaction will occur or be satisfactory.

"Content" means any text, photographs, images, audio, video, messages, profile information, metadata, feedback, comments, communications, reports, verification materials, safety notes, emergency notes, public-plan details, or other information or materials of any kind that are uploaded, posted, transmitted, displayed, submitted, stored, generated, or otherwise made available through the Services.

"Interaction" means any communication, engagement, response, introduction, exchange, arrangement, meeting, contact, attendance, session, discussion, or encounter between or among users, whether initiated, discussed, recorded, scheduled, accepted, declined, cancelled, completed, or otherwise related to the Services. "Safety Tools" means any safety-related features made available through the Services, including public-only reminders, in-app messaging records, manual check-ins, manual checkouts, all-good prompts, emergency buttons, reports, trust feedback, administrative review, account controls, keyword warnings, safety education, or related logs. Safety Tools are support and recordkeeping tools only.

3. NATURE OF MITLY'S SERVICES

Mitly is a membership-based public social planning directory and technology platform. Mitly provides software tools that may allow users to browse approved public profiles, send public-plan requests, communicate through messaging tools, organize public-only social plans, save profiles, review public-only rules, submit reports, and use optional manual safety tools. Mitly's Services are designed for lawful, public, voluntary, non-sexual, non-coercive social planning only.

Mitly does not sell meetings. Mitly does not sell access to a person. Mitly does not sell attendance, companionship, friendship, romance, dating, intimacy, sexual activity, adult services, private-location services, transportation, security, personal protection, emergency response, or guaranteed outcomes. Mitly does not guarantee that any user will respond, accept, appear, stay, behave appropriately, satisfy expectations, or complete any proposed plan.

Mitly is not a dating service, escort service, adult-service platform, private-meeting marketplace, staffing agency, talent agency, transportation company, security provider, emergency response provider, insurer, fiduciary, employer, or agent of any user. Mitly does not control user conduct outside the limited functionality of the Platform and does not supervise public plans in real time.

All users are responsible for their own decisions, communications, conduct, transportation, legal compliance, personal safety, boundaries, and judgment. Mitly may provide rules, moderation, reporting tools, safety education, manual check-in tools, and administrative review, but such features do not create a duty to monitor, prevent harm, intervene, rescue, verify real-time location, contact emergency services, or guarantee safety.

4. ELIGIBILITY, AGE, AND AUTHORITY

You must be at least eighteen (18) years old and capable of forming a legally binding contract to access or use the Services. By using the Services, you represent and warrant that you are at least eighteen (18) years old, that you have the right, authority, and capacity to enter into this Agreement, and that your use of the Services does not violate any applicable law, regulation, court order, contractual obligation, or third-party right.

Mitly may restrict access to certain features based on location, age, verification status, membership status, account history, safety history, payment history, device risk signals, compliance status, or other factors. Mitly may refuse, suspend, limit, or terminate access at any time where Mitly reasonably believes a user may be ineligible, unsafe, fraudulent, abusive, non-compliant, or otherwise inconsistent with the purposes of the Services.

You may not access or use the Services if you are legally barred from doing so, if you are located in a jurisdiction where the Services are prohibited, if you are subject to sanctions or export restrictions that apply to the Services, if you previously had an account suspended or terminated by Mitly unless Mitly expressly authorizes a new account in writing, or if you are using the Services on behalf of a minor or for any prohibited purpose.

5. ACCOUNTS, ROLES, AND ACCOUNT SECURITY

You may need an Account to access certain features. You agree to provide accurate, current, and complete information when creating or updating an Account and to promptly update information as necessary. You may not create an Account using false information, impersonate another person, misrepresent your identity, misrepresent your role, create multiple accounts to evade enforcement, share an Account without authorization, or use another user's Account without permission.

Mitly may maintain different user experiences or role labels, including visitor, Member, approved public profile, applicant, administrator, or other operational categories. Internal database fields, legacy names, or role labels may differ from public-facing language and are used for technical compatibility only. Regardless of terminology, all users must comply with this Agreement and all applicable Mitly rules.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must promptly notify Mitly of any suspected unauthorized access, compromise, misuse, or security incident involving your Account. Mitly is not responsible for losses caused by your failure to maintain the confidentiality of your credentials or by unauthorized access that is not caused by Mitly's own legally actionable conduct.

Mitly may use reasonable account security measures, including email verification, device checks, session controls, authentication workflows, fraud checks, identity or profile review, account restrictions, and administrative review. Mitly does not guarantee that account security measures will prevent all unauthorized access, fraud, impersonation, misuse, or abuse.

6. MEMBERSHIP ACCESS AND SUBSCRIPTIONS

Mitly may offer paid Membership access, free access, trials, promotional access, limited access, or other account levels. Paid Membership, when available, is billed for access to Mitly's platform features only, which may include the ability to send public-plan requests, use messaging tools, save profiles, access member features, and use optional manual safety tools. Paid Membership does not purchase another user's attendance, time, companionship, conduct, response, acceptance, transportation, safety, or performance.

By purchasing a Membership, you authorize Mitly or its payment processor to charge the payment method you provide for the applicable price, taxes where applicable, and any recurring renewal amounts disclosed at the time of purchase. Unless otherwise stated at checkout, Membership may renew automatically until cancelled. You are responsible for maintaining accurate billing information and for cancelling before the renewal date if you do not want future charges.

Mitly may change Membership features, prices, trial terms, renewal terms, or billing options from time to time, subject to applicable law and any disclosures provided at checkout or renewal. If Mitly materially changes paid Membership pricing or renewal terms, Mitly will provide notice where required by law. Continued use of paid features after a change becomes effective may constitute acceptance of the new terms.

Membership access may be suspended, limited, cancelled, or terminated if payment fails, if a charge is disputed, if a user violates this Agreement, if Mitly suspects fraud or misuse, if a user creates safety risk, or if Mitly discontinues a feature or offering. Mitly may also require re-authentication, billing verification, or account review before restoring access.

7. MEMBERSHIP CANCELLATION, REFUNDS, AND BILLING DISPUTES

Members may cancel paid Membership through the membership or account page when available, through the payment processor portal when available, or by contacting Mitly at support@mitlyapp.com. Cancellation stops future renewals but does not necessarily provide a refund for the current billing period unless required by law or expressly stated in Mitly's Membership Refund and Cancellation Policy.

Mitly's refund policy applies only to Mitly Membership charges paid to Mitly or its payment processor for platform access. Mitly does not process, collect, escrow, hold, tip, withdraw, release, pay out, refund, reverse, guarantee, verify, enforce, or resolve any separate user-to-user amount, contribution, reimbursement, gift, or arrangement. Mitly is not responsible for refunds, cancellations, satisfaction, no-shows, disputes, misunderstandings, or claims relating to separate user-to-user arrangements.

If you believe a Mitly Membership charge was made in error, you should contact support@mitlyapp.com promptly so Mitly can review the issue. Nothing in this Agreement limits any non-waivable payment dispute, card-network chargeback, consumer protection, or statutory rights you may have under applicable law. However, initiating a payment dispute or chargeback may result in temporary or permanent account restrictions where permitted by law, especially if Mitly reasonably needs to prevent fraud, account abuse, or repeated misuse.

Mitly may use third-party payment processors for Membership billing, tax calculation, fraud prevention, subscription management, and payment support. Payment processors may impose their own terms, policies, verification requirements, dispute procedures, or account restrictions. Mitly is not responsible for processor delays, banking delays, payment method failures, card-network decisions, or third-party processor errors except to the extent required by applicable law.

8. NO USER-TO-USER PAYMENT PROCESSING OR PAYOUTS

Mitly does not process user-to-user payments. Mitly does not hold funds for approved public profiles. Mitly does not escrow funds. Mitly does not release funds after a plan. Mitly does not provide tips, withdrawals, payout dashboards, earnings dashboards, Stripe Connect onboarding for approved public profiles, or companion payout processing. Any former or legacy Platform features that suggested direct booking payments, tips, withdrawals, payouts, refunds, or platform-held companion fees have been disabled or removed for the current model.

Approved Public Profiles may be able to display permitted profile information, preferences, availability, or public-plan expectations as allowed by Mitly. Mitly does not require, encourage, process, verify, guarantee, enforce, resolve, or supervise separate user-to-user arrangements. Any lawful arrangement users independently discuss outside Mitly's Membership billing system is solely between those users and must comply with Mitly's public-only, non-sexual, lawful-use rules.

Users may not use the Services to pressure, solicit, demand, require, advertise, broker, route, disguise, or structure prohibited payments. Users may not use Mitly to evade platform rules, promote illegal services, promote adult or sexual services, misrepresent the nature of a public plan, create deceptive pricing schemes, solicit private-location activity, or imply that Mitly guarantees any off-platform arrangement. Mitly may restrict, suspend, or terminate accounts that violate this Section.

9. PUBLIC-ONLY SOCIAL PLAN REQUIREMENT

All Public Plans must be lawful, public, voluntary, non-sexual, non-coercive, and within Mitly's rules. Plans must occur only in public venues or public events appropriate for ordinary social activity, such as coffee shops, restaurants, museums, shopping centers, public parks during appropriate hours, conferences, public events, sightseeing locations, public networking environments, or other lawful public places suitable for safe social planning.

Users may not use Mitly to arrange private residence visits, hotel-room meetings, private vehicles as the primary plan location, secluded locations, unlawful activity, sexual activity, adult entertainment, coercive conduct, harassment, stalking, trafficking-related conduct, drug activity, weapons-related conduct, or any activity that violates Mitly's rules, applicable law, or another person's rights. Users may not reframe a private or prohibited activity as a public plan to evade enforcement.

Mitly may require users to acknowledge public-only rules before sending a Public-Plan Request or using certain features. A public-only acknowledgement does not guarantee that a user will comply with the rules, does not make Mitly responsible for user conduct, and does not create a duty to supervise or verify a plan in real time. Users remain responsible for making safe choices, maintaining boundaries, leaving unsafe situations, contacting emergency services when necessary, and reporting violations.

10. PUBLIC-PLAN REQUESTS, ACCEPTANCE, DECLINE, AND STATUS

Members with required account and membership status may send Public-Plan Requests to Approved Public Profiles. A Public-Plan Request may include proposed date, time, duration, public venue or event, plan details, safety acknowledgement, and other information required by Mitly. Sending a Public-Plan Request does not guarantee acceptance, attendance, response, availability, suitability, satisfaction, or completion.

Approved Public Profiles may accept, decline, ignore, request clarification, or message regarding a Public-Plan Request, subject to Mitly's rules and available Platform tools. Acceptance of a Public-Plan Request is a Platform status indicating that the users have agreed through the Platform to a proposed public plan record. It is not a Mitly guarantee of attendance, payment, conduct, safety, outcome, performance, or satisfaction.

Mitly may display statuses such as pending, accepted, declined, cancelled, checked in, completed, missed, flagged, under review, or other operational labels. Such labels are for Platform workflow and recordkeeping only. Mitly may change, correct, restrict, hide, or review plan records if Mitly detects safety concerns, policy violations, technical errors, fraud indicators, user reports, or legal obligations.

Users are responsible for confirming details, ensuring the plan remains public and lawful, respecting boundaries, complying with venue rules, communicating changes, and using reasonable judgment. If a plan becomes unsafe, uncomfortable, coercive, private, sexual, unlawful, or otherwise inconsistent with Mitly's rules, users should leave, seek help, contact emergency services if needed, and report the issue to Mitly.

11. MESSAGING AND COMMUNICATIONS

Mitly may provide messaging and communication tools to support public social planning. Messages should be used for lawful, respectful, public-plan-related communication only. Users may not use messaging to harass, threaten, coerce, stalk, exploit, solicit prohibited activity, pressure another user, share explicit sexual content, request private-location activity, share illegal content, evade safety rules, or route users into prohibited conduct.

Mitly may monitor, review, filter, preserve, restrict, or disclose messages and related metadata where Mitly reasonably believes it is necessary to operate the Services, enforce rules, respond to reports, investigate safety concerns, detect fraud, comply with law, protect rights, or maintain Platform integrity. Mitly does not undertake to review all messages and does not guarantee that harmful, false, abusive, prohibited, or misleading messages will be detected or prevented.

Users should not share sensitive personal information, financial credentials, private addresses, identity documents, passwords, private contact information, or other high-risk information with other users. Mitly is not responsible for how another user uses information you voluntarily disclose, except to the extent required by applicable law.

12. APPROVED PUBLIC PROFILE APPLICATIONS AND LISTINGS

Users who wish to create an Approved Public Profile may be required to complete a profile setup, application, acknowledgement, verification, review, or approval process. Mitly may request information such as name, age, city, photos, biography, public activity interests, availability, preferences, phone number, emergency contact information, verification materials, rule acknowledgements, and other information relevant to profile review, safety, moderation, and Platform operation.

Mitly may approve, reject, suspend, hide, limit, remove, or require edits to an Approved Public Profile at any time. Approval of a profile does not constitute endorsement, employment, agency, guarantee, certification, background-check completion, safety guarantee, suitability guarantee, or verification of all claims made by that user. Mitly may use public profile views or other technical methods to display only limited public fields while protecting private or sensitive profile data.

Approved Public Profiles must be accurate, lawful, respectful, non-misleading, non-sexual, non-adult-oriented, and consistent with Mitly's public-only model. Profiles may not imply that users can purchase private time, sexual activity, romantic services, adult services, illegal services, transportation, security, or guaranteed companionship through Mitly. Profiles may not include prohibited contact-routing, deceptive claims, explicit content, discriminatory content, unsafe instructions, or attempts to bypass Mitly rules.

13. INDEPENDENT USER STATUS; NO EMPLOYMENT OR AGENCY

All Members and Approved Public Profiles are independent users of the Platform. Mitly does not employ Approved Public Profiles and does not control the manner, means, performance, attendance, conduct, statements, decisions, transportation, availability, acceptance, decline, or completion of any public plan. No user has authority to bind Mitly, represent Mitly, make promises on Mitly's behalf, collect funds on Mitly's behalf, or state that Mitly guarantees any outcome.

Nothing in this Agreement creates an employment relationship, agency relationship, partnership, joint venture, franchise, fiduciary relationship, or service-provider relationship between Mitly and any user. Users are solely responsible for their own legal compliance, taxes, expenses, transportation, communications, personal boundaries, decisions, and conduct. Users may not claim employee benefits, wage protections, reimbursement, insurance coverage, indemnity, or compensation from Mitly based on use of the Services, except to the extent such rights cannot be waived under applicable law.

Mitly's ability to set Platform rules, moderate content, approve profiles, remove listings, suspend accounts, require public-only acknowledgements, or provide safety tools does not create control over real-world user conduct and does not convert users into Mitly employees, agents, or representatives.

14. SAFETY TOOLS, MANUAL CHECK-INS, AND EMERGENCY FEATURES

Mitly may provide optional Safety Tools, including public-only reminders, safety education, in-app message records, manual check-ins, manual checkouts, all-good prompts, report buttons, emergency buttons, administrative review, and account controls. These tools are designed to support user awareness, recordkeeping, moderation, and reporting. They are not security services, emergency services, rescue services, law enforcement services, private protection services, insurance, or guarantees of safety.

Mitly does not provide live monitoring, background location tracking, continuous location tracking, real-time supervision, emergency dispatch, police contact, medical response, rescue, crisis intervention, or physical protection. Browser, web, or PWA features may be limited by device settings, permissions, network access, operating-system behavior, battery restrictions, browser restrictions, and user behavior. Mitly does not guarantee that notifications, safety prompts, reports, emergency alerts, check-ins, or checkouts will be delivered, reviewed, or acted upon within any particular time.

If you are in immediate danger or believe someone else is in immediate danger, you should call 911 or local emergency services first. Mitly reports, emergency buttons, support messages, or safety tools are not a substitute for contacting emergency services. You remain responsible for making safe choices, meeting only in public, telling trusted contacts where you are going where appropriate, arranging your own transportation, leaving uncomfortable situations, and seeking help when needed.

15. VERIFICATION, TRUST INDICATORS, AND MODERATION SIGNALS

Mitly may offer or display verification indicators, account labels, approval statuses, trust indicators, badges, review statuses, profile completeness indicators, or moderation signals. These indicators are limited Platform signals based on information available to Mitly at a particular time. They are not guarantees of identity, character, background, safety, legality, reliability, availability, suitability, or future conduct.

Verification materials may be incomplete, outdated, inaccurate, forged, misused, or insufficient. Mitly may make mistakes in approving, rejecting, suspending, hiding, or labeling accounts. Mitly may change, remove, or revoke trust indicators at any time. Users should not rely solely on any badge, approval, profile, rating, message, or indicator when making personal decisions.

Mitly may review reports, messages, public-plan records, profile content, account history, safety records, and technical signals to enforce rules. Mitly is not required to disclose all reasons for moderation decisions, especially where disclosure may compromise safety, privacy, fraud prevention, security, legal compliance, or internal enforcement methods.

16. PROHIBITED CONDUCT

You agree not to use the Services for any unlawful, harmful, abusive, deceptive, exploitative, unsafe, discriminatory, sexually explicit, adult-oriented, coercive, private-location, or rule-evading purpose. You may not use the Services to harass, threaten, intimidate, stalk, defame, exploit, impersonate, discriminate, dox, blackmail, solicit illegal acts, facilitate trafficking-related conduct, promote violence, promote self-harm, distribute malware, scrape data, spam users, or interfere with Platform operations.

You may not use the Services to arrange, request, offer, imply, promote, facilitate, or disguise sexual services, adult services, private-location services, unlawful conduct, illegal substances, weapons-related activity, gambling activity, fraud, money laundering, theft, identity misuse, underage activity, or any activity that violates applicable law or Mitly rules. You may not use coded language, emojis, pricing language, profile wording, message phrasing, external links, off-platform channels, or other workarounds to evade these restrictions.

You may not attempt to bypass membership requirements, payment rules, security controls, RLS or database protections, verification processes, content moderation, account restrictions, safety controls, or technical limitations. You may not reverse engineer, copy, interfere with, overload, probe, scrape, crawl, harvest, or misuse the Services except as permitted by applicable law and Mitly's written authorization.

Mitly may investigate suspected violations and may restrict, suspend, terminate, hide, remove, report, preserve evidence, or take other action against accounts, profiles, content, messages, public-plan records, or features where Mitly believes a violation, risk, fraud, abuse, or legal issue may exist.

17. USER CONTENT AND LICENSE TO MITLY

You are solely responsible for Content you submit, upload, post, display, transmit, or otherwise make available through the Services. You represent and warrant that you own or have all rights necessary to provide such Content, that the Content is accurate to the best of your knowledge where accuracy is required, and that the Content does not violate this Agreement, applicable law, intellectual-property rights, privacy rights, publicity rights, contractual rights, or any third-party rights.

By submitting Content to the Services, you grant Mitly a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, distribute, modify, adapt, excerpt, publish, translate, create derivative works from, and otherwise use such Content as reasonably necessary to operate, provide, secure, moderate, improve, promote, and enforce the Services, subject to Mitly's Privacy Policy and applicable law.

Mitly may remove, hide, restrict, edit for formatting, decline, or refuse Content at any time where Mitly believes the Content violates this Agreement, creates risk, is inaccurate, is inappropriate for the Platform, infringes rights, contains private information, misleads users, undermines Mitly's public-only model, or may expose Mitly or users to harm or legal risk. Mitly does not undertake to preserve all Content and is not responsible for loss of Content except where required by law.

18. PRIVACY AND DATA PRACTICES

Mitly's collection, use, sharing, retention, and protection of personal information are described in Mitly's Privacy Policy. By using the Services, you acknowledge Mitly's Privacy Policy and consent to the collection and use of information as described there, subject to applicable law. If you do not agree with Mitly's privacy practices, you should not use the Services.

Mitly may collect and process account information, profile information, public-plan records, messages, reports, safety records, check-in and checkout records, support communications, verification materials, payment processor identifiers for Membership billing, device and usage information, fraud signals, and other information necessary to operate and secure the Services. Mitly may retain certain information after account closure where necessary for safety, fraud prevention, legal compliance, dispute resolution, enforcement, tax, accounting, or protection of rights.

Public profile browsing should expose only safe public profile fields. Mitly should not intentionally expose private approved-profile fields such as phone numbers, emergency contacts, identity document paths, payment processor account identifiers, private moderation fields, or other non-public data to anonymous public browsing. Users should still avoid sharing sensitive information in public profile fields or messages unless they understand the risks.

19. THIRD-PARTY SERVICES, LINKS, AND PROCESSORS

The Services may use or link to third-party services, including payment processors, hosting providers, database providers, authentication providers, analytics providers, communications providers, verification vendors, map or location providers, app stores, browser or PWA systems, and external websites. Third-party services are not controlled by Mitly and may be subject to their own terms, privacy policies, fees, restrictions, outages, and security practices.

Mitly is not responsible for third-party services, third-party content, third-party outages, third-party payment decisions, bank delays, card-network decisions, browser restrictions, device permission settings, external links, or user interactions outside the Platform, except to the extent required by applicable law. Your use of third-party services is at your own risk and may require separate agreements with those providers.

20. ASSUMPTION OF RISK

You understand and agree that interacting with other people, communicating online, meeting in public, participating in social plans, relying on user-provided information, using public venues, traveling to or from plans, and sharing information with other users involve inherent risks. These risks may include misrepresentation, non-response, cancellation, no-show, harassment, uncomfortable interactions, unsafe conduct, discrimination, theft, injury, illness, emotional distress, financial loss, privacy loss, exposure to unlawful conduct, or other harm.

Mitly may provide rules, moderation, reporting tools, manual safety tools, profile review, public-only acknowledgements, and other support features, but these features cannot eliminate risk. You voluntarily assume all risks associated with your use of the Services and your interactions with other users, except to the extent caused by Mitly's own legally actionable conduct that cannot be disclaimed under applicable law.

You are responsible for using common sense and taking precautions, including meeting only in public places, maintaining personal boundaries, arranging your own transportation, keeping control of your belongings, avoiding intoxication or impairment that compromises safety, leaving if you feel unsafe, telling trusted contacts where you are going where appropriate, and contacting emergency services when needed.

21. DISCLAIMERS OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MITLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND COURSE OF DEALING OR USAGE OF TRADE.

MITLY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, TIMELY, ACCURATE, COMPLETE, OR FREE FROM HARMFUL COMPONENTS. MITLY DOES NOT WARRANT THAT ANY USER IS WHO THEY CLAIM TO BE, THAT ANY PROFILE IS ACCURATE, THAT ANY PUBLIC PLAN WILL OCCUR, THAT ANY USER WILL RESPOND OR ATTEND, THAT ANY USER WILL BE SAFE OR SATISFIED, OR THAT SAFETY TOOLS WILL PREVENT, DETECT, OR RESPOND TO HARM.

NO ADVICE, INFORMATION, STATEMENT, SUPPORT RESPONSE, SAFETY MATERIAL, TRUST INDICATOR, PROFILE APPROVAL, OR COMMUNICATION FROM MITLY OR THROUGH THE SERVICES CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

22. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MITLY AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SERVICE PROVIDERS, LICENSORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, PERSONAL INJURY, EMOTIONAL DISTRESS, REPUTATIONAL HARM, BUSINESS INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES, THIS AGREEMENT, USER CONTENT, PUBLIC PLANS, INTERACTIONS, SAFETY TOOLS, MEMBERSHIP, THIRD-PARTY SERVICES, OR USER CONDUCT, EVEN IF MITLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MITLY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES, THIS AGREEMENT, MEMBERSHIP, PUBLIC PLANS, OR USER INTERACTIONS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MITLY FOR MEMBERSHIP ACCESS DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH JURISDICTIONS, MITLY'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

23. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Mitly and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, licensors, successors, and assigns from and against any claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your access to or use of the Services; (b) your Content; (c) your communications or interactions with other users; (d) any Public Plan or separate user-to-user arrangement; (e) your violation of this Agreement or any Mitly policy; (f) your violation of applicable law or third-party rights; (g) your fraud, misrepresentation, negligence, misconduct, or unsafe conduct; (h) your misuse of safety tools or reports; or (i) your attempt to evade Mitly's rules, membership requirements, moderation, or security controls.

Mitly reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with Mitly's defense of such claims. You may not settle any claim in a manner that imposes obligations on Mitly, admits fault by Mitly, or affects Mitly's rights without Mitly's prior written consent.

24. ENFORCEMENT, SUSPENSION, AND TERMINATION

Mitly may investigate, restrict, suspend, terminate, limit, hide, remove, disable, or refuse access to any Account, profile, Content, Public Plan, message, feature, or Membership where Mitly reasonably believes that a user has violated this Agreement, created risk, engaged in fraud, misused the Services, threatened safety, violated public-only rules, attempted to evade enforcement, exposed Mitly to legal risk, or acted inconsistently with the purposes of the Platform.

Mitly may take enforcement action with or without prior notice, depending on the circumstances. Mitly is not required to provide detailed reasons for enforcement decisions where doing so may compromise safety, privacy, security, fraud prevention, legal compliance, or internal moderation methods. Mitly may preserve and disclose information where required or permitted by law.

If your Account is suspended or terminated, you may not create another Account, use another person's Account, or access the Services through other means without Mitly's written permission. Termination does not relieve you of obligations that accrued before termination, including payment obligations, indemnification obligations, dispute obligations, and obligations regarding prohibited conduct.

25. INTELLECTUAL PROPERTY

The Services, including software, design, text, graphics, logos, icons, images, audio, video, user interfaces, databases, code, workflows, trade names, trademarks, service marks, and other materials provided by Mitly, are owned by Mitly or its licensors and are protected by intellectual-property and other laws. Except as expressly permitted by Mitly, you may not copy, modify, distribute, sell, lease, reverse engineer, create derivative works from, publicly display, publicly perform, scrape, mirror, frame, or exploit any portion of the Services.

Mitly grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, lawful use in accordance with this Agreement. This license does not transfer ownership and may be suspended or terminated at any time. All rights not expressly granted are reserved by Mitly.

26. FEEDBACK

If you submit ideas, suggestions, proposals, feedback, bug reports, feature requests, business ideas, improvements, or other comments to Mitly, you agree that Mitly may use them without restriction, compensation, attribution, or obligation to you. You grant Mitly a perpetual, irrevocable, worldwide, royalty-free license to use, modify, publish, distribute, and exploit feedback for any purpose, including improving or developing the Services.

27. CHANGES TO THE SERVICES OR TERMS

Mitly may modify, suspend, discontinue, or replace any portion of the Services at any time, including features, membership options, public-plan tools, messaging tools, profile features, safety tools, rules, pricing, availability, or technical architecture. Mitly may also update this Agreement from time to time. When Mitly makes material changes, Mitly will provide notice as required by law, which may include posting the updated Terms, updating the effective date, sending a notice, or requiring renewed acceptance.

Your continued access to or use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, except where a different form of acceptance is required by law. If you do not agree to updated Terms, you must stop using the Services and cancel any paid Membership before the next renewal where applicable.

28. DISPUTE RESOLUTION, ARBITRATION, CLASS ACTION WAIVER, AND JURY WAIVER

Please contact Mitly first at support@mitlyapp.com so we can try to resolve any concern informally. Most user concerns can be resolved through support without formal proceedings. If a dispute cannot be resolved informally, you and Mitly agree that, to the maximum extent permitted by applicable law, disputes arising out of or relating to this Agreement or the Services will be resolved through binding individual arbitration rather than in court, except for matters that may be brought in small claims court and except where applicable law does not permit arbitration.

Arbitration will be conducted on an individual basis. You and Mitly waive the right to participate in a class action, class arbitration, collective action, representative action, private attorney general action, or consolidated proceeding to the maximum extent permitted by law. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual party's claim.

You and Mitly waive the right to a jury trial to the maximum extent permitted by law. If any portion of this arbitration or class waiver provision is found unenforceable, the unenforceable portion shall be severed to the extent permitted by law, and the remaining portions shall remain in effect. This arbitration section should be reviewed by legal counsel before large-scale paid launch, and nothing in this Section limits rights that cannot be waived under applicable law.

29. GOVERNING LAW AND VENUE

This Agreement and any dispute arising out of or relating to the Services shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent federal law or another jurisdiction's non-waivable law applies. Subject to the arbitration provision above, any court proceeding that is not subject to arbitration shall be brought in a state or federal court located in Texas, and you consent to personal jurisdiction and venue in such courts to the extent permitted by law.

30. NOTICES AND ELECTRONIC COMMUNICATIONS

You agree that Mitly may provide notices, disclosures, policy updates, transactional communications, security alerts, membership notices, renewal notices, cancellation notices, support communications, and other communications electronically, including by email, in-app notice, website posting, account notification, or other electronic means. Electronic notices have the same legal effect as written notices.

You are responsible for keeping your contact information current and for reviewing notices sent to you. Mitly is not responsible for your failure to receive notices due to outdated contact information, email filtering, disabled notifications, browser restrictions, device settings, or other factors outside Mitly's reasonable control. Legal notices to Mitly should be sent to support@mitlyapp.com unless Mitly publishes a different legal notice address.

31. APP STORES, PLATFORMS, AND DEVICE LIMITATIONS

If you access the Services through a browser, mobile device, PWA, app store, operating system, or third-party platform, your use may also be subject to that provider's terms and technical limitations. Device permissions, browser restrictions, operating-system behavior, notification settings, background activity restrictions, location permission settings, and network conditions may affect the Services. Mitly does not control those third-party systems and does not guarantee feature availability across all devices, browsers, operating systems, or regions.

32. FORCE MAJEURE

Mitly is not liable for delay, failure, interruption, or inability to perform resulting from events beyond Mitly's reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, hosting outages, payment processor outages, database outages, cybersecurity incidents, government actions, legal changes, pandemics, power failures, browser or operating-system changes, app store actions, or other events beyond Mitly's reasonable control.

33. MISCELLANEOUS

This Agreement, together with documents incorporated by reference, constitutes the entire agreement between you and Mitly regarding the Services and supersedes prior or contemporaneous understandings regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be interpreted or modified to the maximum extent permitted by law to achieve its intended purpose.

Mitly's failure to enforce any provision does not waive Mitly's right to enforce it later. You may not assign or transfer this Agreement without Mitly's prior written consent. Mitly may assign or transfer this Agreement in connection with a merger, acquisition, reorganization, financing, sale of assets, change of control, or by operation of law. No third party has rights under this Agreement unless expressly stated.

Headings are for convenience only and do not affect interpretation. The words "including" and "such as" mean "including without limitation." Any reference to a feature includes any successor, replacement, renamed, or modified feature. Legacy internal names in code, database fields, URLs, or administrative systems do not change the legal meaning of Mitly's current public model described in this Agreement.

USER ACKNOWLEDGEMENT: By using Mitly, creating an account, purchasing or using membership access, sending a public-plan request, creating an approved public profile, messaging through the Platform, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to these Terms of Use and the policies incorporated by reference.
